Seller Agreement
Operational, risk, payout, compliance, and product rules for marketplace sellers on divineproducts.club.
1. Seller Responsibility
Sellers are solely responsible for all products they list, all content and representations associated with those listings, pricing, inventory accuracy, fulfillment, returns where offered, taxes where applicable, and compliance with applicable laws, regulations, network rules, and payment processor requirements.
2. Stripe and Payment Compliance
Sellers must comply with Stripe’s prohibited and restricted business requirements, marketplace onboarding rules, and any verification, reserve, payout, dispute, or risk controls imposed by Divine Product Solutions LLC or its providers. Sellers may not use the marketplace to sell products or services that are illegal, restricted, or incompatible with Stripe or other financial partners.
3. Restricted and Prohibited Products
Sellers may not list products or services that violate applicable law or fall within prohibited categories, including illegal drugs, drug paraphernalia, counterfeit or infringing goods, stolen goods, certain adult content or services, unauthorized medical or pharmaceutical products, hazardous materials, and weapons or weapon-related items to the extent prohibited by law, card network rules, or payment processor requirements.
4. Onboarding, Verification, and KYC
Sellers must provide truthful and complete onboarding information, including identity, tax, banking, business, and beneficial ownership information where requested. Failure to complete required verification may result in delayed onboarding, delayed payouts, listing restrictions, reserves, or account suspension.
5. Payouts, Holds, and Reserves
Seller payouts may be delayed, withheld, offset, or made subject to reserves where necessary to manage refunds, disputes, chargebacks, fraud, compliance concerns, or other financial risk. Divine Product Solutions LLC may hold funds for up to 180 days or longer if reasonably necessary to address disputes, card network timeframes, legal obligations, or processor requirements.
6. Chargebacks, Refunds, and Offsets
Sellers are financially responsible for chargebacks, refunds, reversals, fines, losses, and claims arising from their transactions or conduct. We may recover those amounts from current balances, future payouts, reserves, linked payment methods, or other lawful means.
7. Listing Removal, Risk Review, and Suspension
We may remove listings, hold funds, suspend selling privileges, or terminate seller accounts at any time where we identify policy violations, elevated dispute rates, fraud indicators, restricted products, poor fulfillment performance, legal exposure, or payment processor risk.
8. Off-Platform Transactions
Sellers may not circumvent the marketplace by directing buyers to transact off-platform in order to avoid fees, oversight, or processor requirements. Doing so may result in immediate enforcement action.
9. Indemnification
Sellers agree to indemnify, defend, and hold harmless Divine Product Solutions LLC and its affiliates, officers, employees, contractors, and partners from claims, liabilities, costs, damages, and expenses arising from seller listings, products, conduct, non-compliance, or breach of this agreement.
10. Updates
We may revise this seller agreement from time to time. Continued use of seller features after changes become effective constitutes acceptance of the updated agreement.
